Arbitration Agreement

By accessing or using the Site, you agree to the following Arbitration Agreement, which includes an Arbitration Notice, Agreement to Arbitrate, Waiver of Jury Trial, Small Claims, Class Action Waiver, and Miscellaneous provisions.

Arbitration Notice

Any dispute or claim arising out of or relating to your use of the Site or these Terms shall be resolved by binding arbitration, except as otherwise set forth herein. Arbitration is a method of resolving disputes in front of a neutral arbitrator instead of in a court by a judge or jury.
Agreement to Arbitrate

-
By using the Website, you agree that any dispute, claim, or controversy arising out of or relating to these Terms of Service or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in accordance with this Arbitration Agreement.
-
The arbitration shall be conducted by a single arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
Waiver of Jury Trial

You hereby knowingly and voluntarily waive any right to trial by jury in any action, suit, proceeding, or counterclaim arising out of or relating to these Terms of Service or the subject matter hereof.
Small Claims

Notwithstanding anything to the contrary herein, either party may bring qualifying claims to small claims court.

Class Action Waiver

To the fullest extent permitted by applicable law, arbitration shall proceed solely on an individual basis without the right for any claims to be arbitrated on a class action basis or on bases involving claims brought in a purported representative capacity on behalf of others.
Miscellaneous

-
This Arbitration Agreement shall be governed by the Federal Arbitration Act and not by any state law concerning arbitration.
-
The arbitrator shall have the authority to grant motions dispositive of all or part of any claim.
-
Any arbitration shall be confidential, and neither you nor ULife Health may disclose the existence, content, or results of any arbitration, except as may be required by law or for purposes of enforcement or appeal of the arbitration award.
-
If any portion of this Arbitration Agreement is found to be unenforceable or unlawful for any reason, (1) the unenforceable or unlawful provision shall be severed from these Terms of Service; (2) severance of the unenforceable or unlawful provision shall have no impact whatsoever on the remainder of this Arbitration Agreement or the parties’ ability to compel arbitration of any remaining claims on an individual basis pursuant to this Arbitration Agreement; and (3) to the extent that any claims must therefore proceed on a class, collective, consolidated, or representative basis, such claims must be litigated in a civil court of competent jurisdiction and not in arbitration, and the parties agree that litigation of those claims shall be stayed pending the outcome of any individual claims in arbitration.
